Terms of Service

1. Acceptance of Terms

By accessing or using the Nodebill platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Nodebill is a billing orchestration platform that connects your business tools (CRM, billing systems, communication platforms) and automates billing workflows. The Service includes:

  • Workflow automation builder
  • Third-party integrations (Stripe, Salesforce, HubSpot, Slack, etc.)
  • Pre-built templates for common billing scenarios
  • Audit logs and monitoring

3. Account Registration

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately of any unauthorized access.
  • One person or legal entity may not maintain more than one free account.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Service
  • Transmit malware, viruses, or other malicious code
  • Use the Service to send spam or unsolicited communications
  • Resell or redistribute the Service without authorization
  • Use the Service to process payments for illegal goods or services
  • Circumvent usage limits or abuse free tier offerings

5. Third-Party Integrations

  • You are responsible for complying with the terms of service of third-party platforms you connect.
  • We are not responsible for the availability, accuracy, or policies of third-party services.
  • You authorize us to access and use data from connected services as necessary to provide the Service.
  • Revoking integration permissions may limit Service functionality.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You acknowledge that:

  • You own your data and grant us a license to process it for providing the Service.
  • You are responsible for the accuracy and legality of data you input.
  • You must have appropriate rights and consents to share data through the Service.
  • We may generate anonymized, aggregated data for analytics and product improvement.

7. Payment Terms

7.1 Fees

  • Fees are based on your selected plan and are specified at sign-up.
  • All fees are exclusive of taxes unless stated otherwise.
  • We may change pricing with 30 days notice for existing customers.

7.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis.
  • Payment is due upon invoice issuance.
  • Failed payments may result in Service suspension after a 7-day grace period.

7.3 Refunds

  • Annual plans may be refunded within 14 days of initial purchase if no workflows have been deployed.
  • Monthly plans are non-refundable.
  • No refunds for partial months upon cancellation.

8. Service Level

  • We target 99.9% uptime for paid plans.
  • Scheduled maintenance will be communicated at least 48 hours in advance.
  • We do not guarantee uptime for free tier accounts.
  • Service credits may be issued for outages exceeding SLA thresholds (see SLA addendum for paid plans).

9. Intellectual Property

  • We retain all rights to the Service, including software, design, and documentation.
  • You retain all rights to your data.
  • Workflows you create using our templates remain your property.
  • Feedback you provide may be used to improve the Service without compensation.

10. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the use of the Service, including:

  • Integration credentials and API keys
  • Business data processed through the platform
  • Pricing and contract terms

11. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • The Service will meet your specific requirements
  • Results from using the Service will be accurate

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages.
  • Our total liability is limited to the fees you paid in the 12 months preceding the claim.
  • We are not liable for failures caused by third-party integrations.
  • We are not liable for revenue lost due to workflow errors you configure.

13. Indemnification

You agree to indemnify and hold harmless Nodebill from any claims arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of third-party rights
  • Data you process through the Service

14. Term and Termination

14.1 Term

These Terms remain in effect while you use the Service.

14.2 Termination by You

You may cancel your account at any time through account settings or by contacting support.

14.3 Termination by Us

We may suspend or terminate your account for:

  • Violation of these Terms
  • Non-payment after grace period
  • Extended inactivity (12+ months on free tier)
  • Legal or regulatory requirements

14.4 Effect of Termination

  • You may export your data within 30 days of termination.
  • We will delete your data within 90 days unless legally required to retain it.
  • Sections 9-13 survive termination.

15. Modifications to Terms

We may modify these Terms with 30 days notice. Continued use after changes constitutes acceptance. Material changes will be communicated via email.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.

17. Dispute Resolution

  • Disputes will first be addressed through good-faith negotiation.
  • Unresolved disputes will be settled by binding arbitration under AAA rules.
  • Class action waiver: disputes must be brought individually.
  • Small claims court remains available for qualifying disputes.

18. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Nodebill.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • No Waiver: Failure to enforce a right does not waive that right.
  • Assignment: You may not assign these Terms without our consent.
